| Terms: | Prospective bidders must complete a registration form on the day of the auction acknowledging that bidder has read, understands and agrees to all of the terms & conditions (the “Terms”) of the sale (the “Auction”) as outlined herein. The Property will be sold free and clear of all liens and encumbrances. Tranzon Auction Resolutions, its officers, employees, agents, servants and representatives (the “Auctioneer”) is acting as agent on behalf of the seller of the Property (the "Seller") only. The sale of the Property is subject to an established minimum bid. Auctioneer may refuse, for any reason, to permit any person to register and/or bid in the auction. Without limiting the generality of the foregoing, Auctioneer will refuse to permit any person to register or bid in the Auction if the prospective registrant or bidder has failed to (1) close the purchase of any property under a contract executed pursuant to any prior Auction (for any reason other than the seller's default) conducted by Auctioneer, (2) comply with the Terms for the Auction or any prior auction conducted by Auctioneer, or (3) provide any other documentation required by the Terms. This is an Internet auction and all bidders must register to bid at www.tarbid.com by completing all of the required fields including a valid credit card. The credit card number is required for authorization purposes only and will not be charged. Prospective bidders must complete online registration acknowledging that bidder has read, understands and agrees to all of the Terms of the sale (the “Auction”) as outlined herein. The total deposit for any property sold is 10% of the Sales Price. The successful bidder agrees to execute the Auction Sale Purchase Contract (the “Contract”) immediately at the conclusion of the Auction and wire the deposit to the title company no later than 12PM CST, May 25, 2012. If the successful bidder fails to timely wire the required deposit, then the auctioned property will be offered to the next highest bidder, who is able to present the required funds, which next highest bidder shall accept the receipt and purchase the auctioned property. None of the Terms may be changed or waived unless by Dwight D. Toney or Kelly D. Toney on behalf of Auctioneer. Bidder acknowledges that it has reviewed all documents and to the extent necessary consulted with their own legal counsel and that neither Auctioneer, Seller (as hereinafter defined) or their attorneys have provided them with any legal advice of any kind. Bidder acknowledges that it is their sole responsibility to engage or seek their own legal counsel and/or opinions, or to not do so, for its benefit as to any issues related to the Auction, the Property (as hereinafter defined), the Terms, or the Contract (as hereinafter defined). The foregoing disclaimer will be more fully set forth in the Contract. BIDDERS AND ANY AGENTS THEREOF ACKNOWLEDGE THAT THEY HAVE INSPECTED THE PROPERTY UPON WHICH THEY WILL BE BIDDING. Bidder agrees to indemnify and hold harmless Seller, Auctioneer and their respective employees, agents, servants and representatives (collectively, the "Indemnitees") from and against any and all claims, losses, damages, injuries, liabilities, costs and expenses of whatsoever kind or nature, specifically including attorneys' fees and costs, for any injury or death to any person or persons whomsoever or for damage to or loss or destruction of property occurring on, upon or about any of the Property when such loss, damage or injury is occasioned, directly or indirectly, by the actions or omissions of the Bidder or Bidder’s agents, servants, employees or representatives, EVEN IF SUCH LOSSES, DAMAGES, OR INJURIES ACTUALLY OR ALLEGEDLY ARISE FROM THE ORDINARY, CONTRIBUTORY OR COMPARATIVE NEGLIGENCE OR STRICT LIABILITY OF ANY OF THE INDEMNITEES; but if a court of competent jurisdiction determines in a final, non-appealable judgment that such losses, damages or injuries actually resulted from the gross negligence or willful misconduct of an Indemnitee, then Bidder will not be required to indemnify or hold harmless the Indemnitee whose gross negligence or willful misconduct actually caused the loss, damage or injury. Auctioneer reserves the right to withdraw the Property from the Auction. Auctioneer reserves the right to cancel the Auction up to the time prior to the commencement of bidding. All announcements made the day of the Auction will take precedence over any prior written or verbal Terms. During bidding, Auctioneer has the right to reject any raise that, in his opinion, is not commensurate with the value of the Property. In the event of any dispute after the sale, Auctioneer's record of final sale will be conclusive. A commission will be paid to the licensed, qualified broker (the “Broker”), whose properly registered bidder is the highest bidder at the Auction, if said highest bidder actually purchases (i.e., closes and funds) the Property. Brokers must register their bidder on the required broker participation form (completely filled out and signed), which may be obtained by calling 832-220-1100 and which must be submitted to Auctioneer no later than close of business 2 days prior to the Auction. If a commission reduction is required to consummate a sale, Auctioneer reserves the right to proportionately reduce the commission herein. Brokers must accompany their bidders to the Auction. The highest bidder (the “Purchaser”) on the Property at the Auction must provide at the Auction a binding deposit (the “Deposit”) in amount of ten percent (10%) of the Sales Price. Purchaser agrees to execute the Contract after the Auctioneer announces that the Auction is concluded via fax or email. The Contract will be a “Non-Contingent” Contract to the Purchaser. All bidders understand and acknowledge that Seller has spent considerable funds to conduct the Auction and all bidders agree that if he, she or it becomes the Purchaser, then he, she or it will, prior to leaving the Auction premises and immediately after the Auction is concluded: (1) execute the Contract; and (2) make the Deposit. The Deposit will be nonrefundable unless otherwise provided in the Contract. Closing will be on or before 30 days after the conclusion of the auction. Purchaser understands that all blanks in the Contract will be filled in by the Auctioneer or the Seller prior to signing by the Purchaser.
